HOW TO APPLY FOR DIN ?

Under the provisions of the Companies Act 2013, the appointment of a director in a company is contingent upon the fulfilment of certain conditions. In accordance with Section 152 of the Companies Act 2013, one of the fundamental prerequisites for eligibility as a director is the possession of a Director Identification Number (DIN).



A Director Identification Number (DIN) serves as a unique identifier for individuals seeking directorship positions in Indian companies. It is a critical component of the regulatory framework governing corporate governance and accountability in India. To become eligible for appointment as a director, an individual must successfully obtain a DIN as prescribed by the Companies Act 2013.


This requirement is in place to ensure that individuals appointed as directors have undergone due diligence and scrutiny by the regulatory authorities, thereby enhancing transparency and accountability in corporate governance. Therefore, any person aspiring to be appointed as a director in a company must, as per Section 152 of the Companies Act 2013, possess a valid DIN as a foundational prerequisite.


Checklist for DIN Application:

  1. Pan Card (mandatory)/ not mandatory for Non-Resident.

  2. Photograph (mandatory)

  3. Aadhar card (mandatory)

  4. Passport (if available)/(mandatory) for Non-Resident.

  5. Voter ID(if available)

  6. Electricity bill/ Bank Statement not older than 2 months for Address proof.

  7. Digital signature Certificate (DSC must be associated as officer in default in MCA v3 Portal)

  8. Board resolution from the company in which the director proposed to be appointed as Director.

  9. Application fees - 500/-



Step 1: Document Collection

The first step in the DIN application process is to collect all the necessary documents. While self-attestation is not required, it's important to note that foreign residents must have their documents apostilled in the country where they reside. Ensure you have all the required documents in place before proceeding further.


Step 2: Access the MCA v3 Portal After gathering the necessary documents,

the next step is to access the MCA v3 Portal, which is the official platform for DIN applications. Ensure that you have the required login credentials and navigate to the portal.


Step 3: Completing the DIR-3 Form

Once logged in, you will need to fill out the DIR-3 form. This form contains essential information about the applicant and serves as a formal application for the DIN. Make sure to provide accurate and complete details as any errors or omissions may lead to delays in the application process.


Step 4: Digital Signature Certificate (DSC)

Attachment To validate your application, you must attach your Digital Signature Certificate (DSC) in PDF format. This step ensures the authenticity and security of your application. Ensure that your DSC is up to date and compatible with the MCA v3 Portal requirements.


Step 5: Payment of DIN Application Fees

The application for DIN allotment comes with a fee of INR 500. You will need to make this payment through the portal's designated payment gateway. Ensure that the payment is successfully processed to avoid any disruptions in the application process.


Step 6: Allotment of DIN

Upon successful submission of your application and payment, the allotment of DIN will proceed. This process generally operates in the Single Window System (STP) mode, designed to expedite the allotment of DIN numbers.

ALLOTMENT OF DIRECTOR IDENTIFICATION NUMBER (DIN):


The chairman informs the board that <NAME OF PROPOSED DIRECTOR> is required to be appointed as a director in the company and for which he shall be required to make an application to obtain a Director Identification Number (DIN) before being appointed as director in the company.


The board discussed and passed the following resolution unanimously:


“RESOLVED THAT pursuant to the provision of Section 153 and other applicable provisions If any, of the Companies Act 2013, consent of the Board be and is hereby accorded for applying for allotment of Director Identification Number (DIN) to <NAME OF PROPOSED DIRECTOR> who shall be appointed as a Director of the company after allotment of valid DIN.


“RESOLVED FURTHER THAT any Director of the company be and is hereby authorized to do all such acts, deeds, matters, and things, as may be deemed necessary in this regard to give effect to the aforesaid resolution.”
